Service Provider: Gray Swan Intelligence Korlátolt Felelősségű Társaság (Gray Swan Intelligence Kft.)
(hereinafter referred to as: Service Provider)

These Affiliate Program Terms and Conditions (hereinafter referred to as: Terms) govern the affiliate program operated by signex.ai. These Terms apply exclusively to affiliate partners and are distinct from the referral system.

1. PURPOSE AND SCOPE OF THE TERMS

1.1. The purpose of these Terms is to define the operating conditions of the affiliate program, the rules for commission earning and payment, and the rights and obligations of affiliate partners.

1.2. These Terms apply to all natural or legal persons who join the Service Provider's affiliate program.

1.3. By participating in the affiliate program, the affiliate partner accepts these Terms as well as the Service Provider's General Terms and Conditions and Privacy Policy.

1.4. The Service Provider reserves the right to unilaterally amend these Terms. Amendments enter into force upon publication.

2. DEFINITIONS

Affiliate Partner: A natural person who has reached the age of 18 or a legal entity participating in affiliate cooperation with the Service Provider.

Affiliate Link: A unique referral through which the Service Provider assigns invited users to the affiliate partner.

Invited User: A user who registers on the signex.ai platform through an affiliate link.

Commission: The percentage fee paid to the affiliate partner for subscriptions purchased by invited users.

Tier: The level determining the commission rate based on the number of invited, paying users.

Settlement Period: The calendar month for which commission is calculated and claimed.

3. ESTABLISHMENT OF AFFILIATE PARTNERSHIP

3.1. An affiliate partner may be:

  • A natural person who has reached the age of 18, or
  • A legal entity

3.2. Affiliate partnership requires separate affiliate registration and approval by the Service Provider.

3.3. The Service Provider is entitled to reject affiliate applications without justification and to terminate affiliate status at any time.

3.4. Only one affiliate status may be associated with a single user account.

4. COMMISSION TIERS (TIER SYSTEM)

4.1. The affiliate commission rate is determined based on the number of invited users with active subscriptions.

4.2. Commission Tiers:

  • 5% Commission: 1–10 active subscribers
  • 7% Commission: 11–50 active subscribers
  • 10% Commission: 50+ active subscribers

4.3. Only subscriptions that have been successfully paid, not refunded, and not subject to chargebacks qualify as active subscriptions.

4.4. The Service Provider reserves the right to modify tier thresholds and commission levels.

5. COMMISSION GENERATION

5.1. Commission is generated only when:

  • The invited user registered through an affiliate link,
  • Purchased a valid subscription,
  • The transaction is successful and final.

5.2. If the invited user's subscription is refunded or charged back, no commission is payable for that subscription, and any credited commission may be reversed and offset against future commission payments.

6. COMMISSION CLAIMING AND PAYMENT

6.1. Commission is not automatically paid out. The affiliate partner must actively claim payment.

6.2. Commission claiming period:

  • Between the 1st and 5th day of each month.

6.3. Minimum payout amount:

  • 50 EUR.

6.4. Commission amounts below the minimum threshold are carried forward to the next settlement period and accumulate.

6.5. Payment:

  • Is made exclusively in EUR currency,
  • Via bank transfer.

6.6. The affiliate partner acknowledges that tax and contribution obligations arising from commission are their responsibility. The Service Provider assumes no liability in this regard.

7. PERMITTED MARKETING ACTIVITIES

7.1. The affiliate partner is entitled to promote the Service on:

  • Their own website,
  • Blogs,
  • Social media platforms,
  • Organic and paid advertising.

7.2. For paid advertising:

  • The advertising cost is borne exclusively by the affiliate partner,
  • The Service Provider does not reimburse any advertising costs.

7.3. The Service Provider is not obligated to pay any other fees or reimburse any costs beyond the commission amount. By accepting these Terms, the affiliate partner expressly acknowledges and accepts this.

8. PROHIBITED MARKETING ACTIVITIES

8.1. Brand Bidding Prohibition:

The affiliate partner is not entitled to bid on the Service Provider's name, trademarks, or confusingly similar keywords (e.g., "signex", "signex ai", "signex.ai") in paid advertising.

8.2. Also prohibited:

  • Promises of guaranteed profit or risk-free returns,
  • Presenting the Service as investment advice or recommendation,
  • Using misleading or false claims,
  • Spam marketing (mass email, automated messages),
  • Communication damaging the Service Provider's reputation.

9. LIABILITY AND LEGAL CONSEQUENCES

9.1. The affiliate partner bears full responsibility for their own marketing communications.

9.2. The Service Provider is not responsible for content or claims published by the affiliate partner.

9.3. In case of violation of these Terms or other legal violations or abuse, the Service Provider is entitled to:

  • Terminate affiliate status with immediate effect,
  • Withhold or revoke commission payment,
  • Take legal action if necessary.

9.4. In case of violation of these Terms or other legal violations or abuse, the affiliate partner is obligated to compensate the Service Provider for all damages (including lost profits).

9.5. The Service Provider's liability is limited to intentional breaches and breaches causing damage to human life, physical integrity, or health. Beyond this, the Service Provider is not liable for damages caused to the affiliate partner. By accepting these Terms, the affiliate partner expressly accepts this limitation.

10. TERMINATION OF AFFILIATE STATUS

10.1. Both the affiliate partner and the Service Provider are entitled to terminate the affiliate partnership at any time without obligation to provide justification.

10.2. Termination does not affect lawfully generated and approved commissions; however, disputed or abuse-related commissions may be deleted.

11. DATA PROCESSING

11.1. Within the affiliate program, the Service Provider processes data necessary for affiliate partner identification, statistics, and payments.

11.2. Detailed data processing rules are contained in the Privacy Policy.

12. FINAL PROVISIONS

12.1. These Terms are governed by Hungarian law.

12.2. The parties shall first attempt to resolve disputes amicably.

Language: In case of any discrepancy between different language versions, the English version shall prevail.
